Tradel Terms and Conditions for Customers

1. About Tradel 

Zzed Pty Ltd (ABN 41 673 548 635)(trading as Tradel)( ("Tradel", "we", "us", "our") provides a website and app (“Platform”) that allows trades and other people to order products, materials and equipment and to arrange delivery to construction sites or other addresses using third-party Suppliers and Drivers. 

These Terms & Conditions ("Terms") govern your use of the Platform, including placing Orders, making payments and interacting with Suppliers and Drivers through the Platform. 

2. Acceptance & who these Terms apply to 

By registering for or using the Platform you confirm you are at least 18 years old and have authority to bind any entity you act for. 

Your use of the Platform constitutes acceptance of these Terms. If you do not accept these Terms do not use the Platform.

We may amend these Terms from time to time. Material changes will be notified to you and your continued use after notice constitutes acceptance of the changes. 

3. Account registration and security 

You must register an Account with accurate and complete details (including ABN where relevant) on our Platform. You are responsible for all activity on your Account and for maintaining the confidentiality of your login credentials. 

You must not create multiple, false or fraudulent Accounts. You must notify us immediately if you suspect unauthorized use of your Account. 

4. How Tradel operates 

Tradel operates an online marketplace that connects you with Suppliers (who list or sell Goods) and Drivers (who fulfil deliveries). Unless we expressly state otherwise in writing or a specific transaction record, Tradel is a platform facilitator only. Contracts for the supply of Goods are between you and the Supplier, and contracts for delivery Services are between you and the Driver. 

Tradel may have separate agreements with Suppliers and Drivers governing their relationship with Tradel. Those agreements do not create obligations owed by Tradel to you. Where Tradel expressly accepts a specific obligation (for example, to provide platform credit or to process a refund), that specific obligation will be displayed in the Platform or set out in a separate Tradel policy. 

5. Placing Orders and when a contract form 

You can place your Order through your Account on the Platform. Orders are subject to acceptance by the Supplier and/or Driver. 

A binding contract for goods or delivery is formed only when the Supplier or Driver issues a confirmation via the Platform (or otherwise accepts the Order under their terms). 

You must ensure Order and delivery details (site address, access instructions, contact details) are accurate. 

6. Pricing, fees and payments 

Prices for Goods are set by Suppliers. Delivery and service fees may be set by Drivers or by Tradel where it provides Driver services. 

All prices are in Australian dollars (AUD) and are displayed inclusive of GST where applicable unless otherwise stated. 

Tradel may charge platform, service or transaction fees. Applicable fees are shown at checkout or in your Account. 

Payments are processed by authorised third-party payment providers. By placing an Order, you authorize Tradel and its payment processors to charge your nominated payment method. If payment fails, Tradel may suspend or cancel Orders and may recover outstanding amounts and costs from you. 

7. Delivery, risk and title 

Delivery is arranged and performed by Suppliers or Drivers in accordance with your instructions and any applicable Supplier/Driver terms. 

Risk in Goods generally passes to you when Goods are delivered to the nominated delivery location or to the nominated recipient (including where you provide an “authority to leave”). 

Title to Goods passes in accordance with the Supplier’s terms (commonly upon payment in full). 

You must provide safe site access and accurate delivery instructions. Suppliers and Drivers are not required to attempt delivery where conditions are unsafe. 

8. Cancellations, changes, refunds and returns 

Cancellations, changes, refunds and returns are governed primarily by the Supplier’s and Driver’s terms and by statutory rights under the Australian Consumer Law (“ACL”). Change-of-mind cancellations may not be accepted once an Order is confirmed or dispatched. 

To request a refund or return contact Tradel in writing with full details and evidence (for example photos of damage). Tradel may assist administratively in dispute resolution and refund handling in accordance with the Tradel Refunds Policy located here https://www.tradel.com.au /refunds-policy. Any administrative assistance does not create additional liability for Tradel unless Tradel expressly assumes such liability in writing. 

9. Users’ conduct and prohibit behaviour 

You must always use the Platform in compliance with these Terms and all applicable laws, rules and regulations (including workplace health and safety laws and the Australian Consumer Law). You must not use the Platform in a manner that interferes with its operation or that prejudices the rights of other users. You must not, directly or indirectly, do any of the following: 

  • Fraudulent behaviour: Create false or duplicate accounts, provide false identity or payment information, submit fraudulent Orders, or attempt to defraud other users or Tradel. 
  • Harassment and discrimination: Harass, threaten, bully, vilify or discriminate against any person or property, or post content that is hateful, abusive, obscene or sexually explicit. 
  • Deceptive communications: Send unsolicited bulk messages, spam, phishing communications, or attempt to induce users to transact outside the Platform. 
  • Tampering with transactions: Circumvent, manipulate or attempt to bypass Platform fees, payment flows, allocation or matching algorithms, delivery verification processes or Order confirmations. 
  • Unauthorised access and interference: Interfere with, reverse-engineer, copy, modify, decompile, hack, overload, or attempt to gain unauthorised access to the Platform, related systems, other users’ Accounts, data or Tradel’s networks. 
  • Data scraping and extraction: Collect, harvest or scrape Platform data or other Users’ information without Tradel’s express written consent. 
  • Unsafe site practices: Provide inaccurate site access or safety information, request delivery to unsafe sites, or otherwise direct Suppliers/Drivers to act in a way that may breach work health and safety obligations. 
  • Misleading representations: Falsely represent affiliation with Tradel, Suppliers, Drivers or other users, or misuse Tradel’s name, marks or branding. 
  • Intellectual property infringement: Upload, post or distribute material that infringes third-party intellectual property rights. • Illegal goods or activities: List, order, or arrange delivery of goods or services that are illegal, restricted or prohibited by applicable law or by Supplier/Driver terms. 
  • Undermining dispute processes: Intentionally refuse to cooperate with reasonable investigation, mediation or dispute resolution processes after an Order issue is raised. 

10.Ratings, reviews and user content 

You may post ratings, reviews or other content about goods, Services or Drivers. By posting content you grant Tradel a perpetual, worldwide, royalty-free license to use, reproduce and display that content for Platform operation, improvement and promotion. Tradel may moderate, withhold, edit or remove content that breaches these Terms or is inaccurate, misleading or unlawful. 

11. Intellectual property 

All Platform code, trademarks, branding, look and feel, documentation and content remain the property of Tradel or its licensors. 

You are granted a limited license to use the Platform for its intended purpose. 

You must not copy, reproduce, modify, decompile or prepare derivative works from the Platform except as permitted by law. 

12. Privacy, data sharing and security 

Our collection and use of personal information is governed by our Privacy Policy located here https://www.tradel.com.au/privacy-policy. 

By using the Platform, you consent to Tradel sharing your details (delivery address, contact information and Order details) with Suppliers, Drivers and other service providers as reasonably necessary to fulfil Orders. Tradel uses secure cloud hosting and may use overseas service providers. We will implement reasonable safeguards with respect oy your data consistent with the Privacy Policy. 

13.Warranties, disclaimers and ACL rights 

To the extent permitted by law, Tradel provides the Platform on an “as is” basis and disclaims all other warranties. Nothing in these Terms limits rights that cannot be excluded under the ACL. 

14. Liability and indemnity 

Nothing in these Terms excludes rights under the ACL that cannot be lawfully excluded. Subject to that, Tradel’s aggregate liability arising out of or in connection with these Terms is limited to the fees paid by the relevant User to Tradel in the three (3) months prior to the event, giving rise to the claim. 

To the fullest extent permitted by law Tradel is not liable for indirect, special or consequential loss, including loss of profits, loss of data or loss of opportunity. 

You indemnify Tradel, its officers, employees and agents against claims, losses, liabilities and expenses arising from your breach of these Terms, negligence, willful misconduct or unlawful use of the Platform, except to the extent caused by Tradel’s fraud or willful misconduct. 

15. Platform availability, maintenance and outages 

Tradel does not guarantee uninterrupted access to the Platform. 

Scheduled maintenance, emergency maintenance, third-party outages, force majeure events and security incidents may result in service interruptions. 

Tradel will use reasonable endeavors to notify Users of scheduled outages. 

Tradel is not liable for losses resulting from interruptions except as required by law. 

16. Suspension, restriction and termination 

Tradel may suspend, restrict or terminate access to the Platform or an Account where you breach these Terms, engage in fraudulent or unlawful conduct, provide false information, or where suspension is necessary for safety, compliance or operational reasons. 

Termination may result in loss of access to Order history or Account data. 

Surviving provisions (such as liability limitations, indemnities, intellectual property and dispute resolution) will continue to apply after termination. 

17. Disputes, contact and support 

Most disputes can be resolved informally by contacting our support team at info@tradel.com.au .

 Parties must attempt good-faith resolution and if unresolved within 30 days either party may refer the matter to mediation in Melbourne, Victoria. If mediation fails or a party requires urgent relief, either party may seek orders from a court of competent jurisdiction. 

18. Governing law and jurisdiction 

These Terms are governed by the laws of Victoria, Australia. Users submit to the non-exclusive jurisdiction of the courts of Victoria for any dispute arising under these Terms. 

19. Severability, assignment and entire agreement 

If any provision of these Terms is held to be invalid or unenforceable it will be read down or severed without affecting the remainder. 

You may not assign your rights under these Terms without Tradel’s written consent. Tradel may assign or novate its rights in whole or part to related entities or a purchaser of the Platform. 

These Terms, together with referenced policies, form the entire agreement between you and Tradel in relation to the Platform. 

20. Notices 

Tradel may give notices to you via in-app notification, email to the address associated with your Account, SMS or via posting on the Platform. You may give notices to Tradel at info@tradel.com.au
